1. Products & Services

NAVYA SECURE SYSTEMS PRIVATE LIMITED provides security solutions, which may include but are not limited to:

• Security hardware such as surveillance devices, EAS, RFID, and access control systems
• Software products or licenses
• IT security services including consultancy, system integration, and maintenance

Product specifications, descriptions, and availability are subject to change without notice.

2. Orders & Acceptance

• All orders are subject to acceptance by NAVYA SECURE SYSTEMS PRIVATE LIMITED.
• We reserve the right to reject or cancel orders at our discretion, including for pricing errors, product unavailability, or suspected fraud.
• Orders are confirmed only after written acceptance via email, proforma invoice, or official order confirmation.

3. Pricing & Payment

• Prices are quoted in INR (₹), unless otherwise stated.
• Prices are exclusive of applicable taxes, duties, shipping, and handling charges, which will be added to your invoice.
• Full payment must be received before dispatch or as per agreed payment terms, subject to credit approval.
• Late payments may attract interest as per applicable laws or the invoice terms.
• We reserve the right to revise prices without prior notice.

Accepted payment methods: bank transfer (NEFT/RTGS), UPI, cheque, or any method communicated in writing.

4. Delivery & Shipping

• Delivery timelines are estimates only and subject to availability. Delays do not entitle cancellation unless otherwise agreed.
• Risk of loss passes to the customer upon delivery.
• Any damage or shortage must be reported within 48 hours of receipt.
• Additional charges may apply for special handling or urgent delivery.

5. Installation & Support

• Installation and configuration services may be offered for eligible products.
• Support terms, including SLAs, AMCs, and on-site visits, will align with the specific service agreement.
• Any customization or integration requirements must be mutually agreed in writing and may incur additional charges.

6. Warranty

• Warranty coverage is as per product specification or OEM terms.
• Hardware typically carries a 12-month warranty from the date of invoice unless otherwise specified.
• Warranty excludes physical damage, misuse, unauthorized modification, or use outside intended purpose.
• Software is provided "as-is" unless otherwise specified with support terms.

Warranty claims must be supported with proof of purchase and product serial number.

7. Returns & Cancellations

Returns are accepted only under the following conditions:

• Product is defective on arrival.
• Incorrect item was delivered.
• Written return request is submitted within 7 days of delivery.

Products must be unused, in original packaging, and include all accessories and manuals.

Customized orders, licensed software, or services rendered are non-refundable and non-returnable.

Approved returns may be subject to a restocking fee.

8. Limitation of Liability

To the fullest extent permitted by law, NAVYA SECURE SYSTEMS PRIVATE LIMITED shall not be liable for indirect, incidental, special, or consequential damages, including loss of data, profits, or business. Our total liability shall not exceed the total amount paid by the customer for the specific order.

9. Intellectual Property

All intellectual property rights in products, software, documentation, and services remain the property of NAVYA SECURE SYSTEMS PRIVATE LIMITED or its licensors. Use of software is subject to license terms. No rights are transferred except as expressly stated.

10. Confidentiality

Any proprietary information exchanged between the parties shall remain confidential and will not be disclosed to third parties without written consent, unless required by law.

11. Compliance & Export Control

You agree to comply with all applicable local and international laws, including import and export regulations. NAVYA SECURE SYSTEMS PRIVATE LIMITED reserves the right to refuse transactions that may breach such law.

12. Force Majeure

We are not liable for delays or failure in performance resulting from causes beyond our reasonable control, including acts of God, war, pandemics, labor disputes, supply shortages, or government orders.

13. Governing Law & Jurisdiction

These terms shall be governed by and construed in accordance with the laws of India. All disputes shall be subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka.

14. Updates to Terms

NAVYA SECURE SYSTEMS PRIVATE LIMITED reserves the right to update or modify these terms at any time. The updated version will be posted on our website. Continued use of our services after such updates constitutes acceptance.
